Insightful Corporation Names Robert Fitzgerald as Vice President of Worldwide Field Operations

SEATTLE - February 4, 2008 -

Insightful Corporation (NASDAQ: IFUL), a leading provider of predictive analytics and reporting solutions, announced today the appointment of Robert Fitzgerald as vice president of Worldwide Field Operations. Mr. Fitzgerald will be responsible for global sales and professional services and will be a member of Insightful’s executive management team, reporting directly to the chief executive officer.

Before joining Insightful, Mr. Fitzgerald was the executive vice president of Protegrity Inc., a leading provider of data security management solutions. SEATTLE - February 7, 2008 - Insightful Corporation (NASDAQ: IFUL), a leading provider of predictive analytics and reporting solutions, announced today the appointment of Sachin Chawla as chairman of the board and the resignation of Samuel Meshberg from the Board of Directors.

Mr. Meshberg resigned from Insightful’s board for personal reasons. “It has been an honor to serve on the board these past seven years,” Mr. Meshberg said. “I’m confident that Insightful will be successful in creating value for its shareholders. My best wishes for the company and its people.”

Insightful Corporation Announces 2007 Fourth Quarter and Annual Results

Seattle, WA - February 21, 2008 -

Insightful Corporation (NASDAQ: IFUL), a leading provider of predictive analytics and reporting solutions, today announced operating results for the fourth quarter and year ended December 31, 2007.

Insightful reported revenues of $5.7 million for the fourth quarter of 2007, a decrease of 24% compared to revenues of $7.5 million for the fourth quarter of 2006. The company reported a net loss of $1.2 million, or $0.09 per diluted share, for the fourth quarter of 2007, compared to net income of $0.3 million, or $0.02 per diluted share, for the fourth quarter of 2006.

For the full year 2007, Insightful reported revenues of $22.3 million, a decrease of 7% compared to revenues of $24.0 million for 2006. Revenues from the company’s core data analysis business decreased 5% for 2007 compared to 2006. Net loss for 2007 was $1.7 million, or $0.13 per diluted share. Net loss for 2007 includes a gain of $3.5 million on the sale of the company’s InFact search technology and associated intellectual property rights. Net income for 2006 was $0.2 million, or $0.01 per diluted share.

Non-GAAP results were a loss of $1.0 million, or $0.08 per diluted share, for the fourth quarter of 2007, compared to earnings of $0.7 million, or $0.05 per diluted share, for the fourth quarter of 2006. Non-GAAP results for 2007 were a loss of $4.4 million, or $0.34 per diluted share, compared to earnings of $1.4 million, or $0.11 per diluted share, for 2006. As described in the section below entitled “Use of Non-GAAP Financial Measures,” non-GAAP earnings or loss differs from net income or loss reported under accounting principles generally accepted in the United States (GAAP) due to the exclusion of stock-based compensation expense, amortization of intangible assets and, for 2007 results, the gain on the sale of InFact. A reconciliation of Insightful’s GAAP net income or loss to its non-GAAP earnings or loss for the fourth quarters and fiscal years ended December 31, 2007 and 2006 is set forth at the end of this release.

Insightful’s cash, cash equivalents, and short and long-term investments balances totaled $11.0 million at December 31, 2007, compared to $10.2 million at December 31, 2006. Deferred revenues were $6.0 million at December 31, 2007, compared to $6.2 million at December 31, 2006.

“While we did not close any seven- or high six-figure deals during this quarter as we did in the fourth quarter of 2006, we did close our first Insightful Clinical Graphics sale to a large pharmaceutical company, for which revenue will be recognized in the first quarter of 2008, and we have a pipeline of additional prospects for the solution,” continued Coombs.

Fourth Quarter 2007 Highlights

Software license revenues were $2.1 million in the fourth quarter of 2007, a decrease of 42% compared to $3.6 million in the fourth quarter of 2006.

Software maintenance revenues were $2.1 million in the fourth quarter of 2007, an increase of 8% compared to $2.0 million in the fourth quarter of 2006.

Funded research, which is an offset to research and development expense in the company’s statement of operations, was $0.4 million in the fourth quarter of 2007, a decrease of 32% compared to $0.6 million in the fourth quarter of 2006. The decrease resulted primarily from reduced billings on InFact related research grants, due to the sale of the InFact search technology in the third quarter of 2007.

The Domestic segment accounted for 51% of total revenues and the International segment accounted for 49% of total revenues in the fourth quarter of 2007, compared to 54% Domestic and 46% International in the fourth quarter of 2006.

The company released Insightful Clinical Graphics (iCG), a software and services solution for defining and repurposing statistical graphics across all functional areas in drug discovery, development and marketing. iCG is designed to simplify the creation and re-use of statistical graphics and elimination of redundant work processes, reducing the time and resources necessary to meet graphics requirements.

During the quarter, the company decreased its ongoing cost structure by reducing its headcount from 152 employees at September 30, 2007 to 119 employees at December 31, 2007. While the reductions impacted many parts of the organization, the largest reductions were in research and development. In addition to lower personnel-related costs, the reduced headcount is expected to enable the company to consolidate leased space and decrease its ongoing rent expense.

Insightful Announces Operating Results for First Quarter 2008

Insightful Corporation (NASDAQ: IFUL), a leading provider of predictive analytics and reporting solutions, today announced its operating results for the first quarter ended March 31, 2008.

Insightful reported total revenues of $4.9 million for the first quarter of 2008, a decrease of 21% compared to revenues of $6.2 million for the first quarter of 2007. For the first quarter of 2008, Insightful reported a net loss of $0.4 million, or $0.03 per share, compared to a net loss of $1.1 million, or $0.09 per share, for the first quarter of 2007.

Non-GAAP operating results, which exclude stock-based compensation expense and amortization of intangible assets, were a loss of $0.3 million, or $0.02 per share, for the first quarter of 2008, compared to a loss of $0.8 million, or $0.06 per share, for the first quarter of 2007. As described in the section below entitled “Use of Non-GAAP Financial Measures,” non-GAAP earnings or loss differs from net income or loss reported under accounting principles generally accepted in the United States (GAAP) due to the exclusion of stock-based compensation expense and the amortization of intangible assets. The reconciliation of Insightful’s GAAP net loss to its non-GAAP operating results for the quarters ended March 31, 2008 and 2007 are set forth at the end of this release.

Insightful’s cash, cash equivalents, and short and long-term investments totaled $11.2 million at March 31, 2008, up from $11.0 million at December 31, 2007.

* Software license revenues were $1.7 million in the first quarter of 2008, compared to $2.0 million in the first quarter of 2007.
* Maintenance revenues were $2.1 million in the first quarter of 2008, compared to $2.0 million in the first quarter of 2007.
* Professional services and other revenues were $1.1 million in the first quarter of 2008, compared to $2.1 million in the first quarter of 2007.
* Domestic revenues were $2.3 million in the first quarter of 2008, compared to $3.1 million in the first quarter of 2007. International revenues were $2.6 million in the first quarter of 2008, compared to $3.1 million in the first quarter of 2007.

Insightful Corporation Announces Agreement to Be Acquired By TIBCO

Seattle, Washington - June 19, 2008 -

Insightful Corporation (NASDAQ: IFUL), a provider of predictive analytics and reporting solutions, today announced that it has signed a definitive agreement to be acquired by TIBCO Software Inc. (NASDAQ: TIBX) in a transaction valued at approximately $25 million, including the value of certain assumed options. Under the terms of the agreement, following the closing, Insightful stockholders will receive $1.87 in cash for each outstanding share of common stock they own. This price represents a premium of 29% over the average closing price of Insightful’s common stock over the sixty trading day period ending on June 18, 2008, the last trading day before the date of this announcement.

The Board of Directors of Insightful has unanimously approved the agreement and resolved to recommend that Insightful stockholders approve the transaction. Completion of the transaction is subject to stockholder approval and other customary closing conditions. Certain Insightful directors, officers and stockholders, representing approximately 22% of Insightful's outstanding common stock, have entered into voting agreements in support of the acquisition. The transaction is expected to close in the third quarter of 2008.
